Terms of Service
1. Agreement
These Terms are a contract between you (the restaurant or food business, "you", "Owner") and POS AZ, operated by VM TECH, British Columbia, Canada ("POS AZ", "we"). By creating an account, activating a license, or using the POS AZ software, apps or website, you agree to these Terms and to our Privacy Policy.
2. What POS AZ is
POS AZ is point-of-sale software that runs on a computer you provide in your restaurant, with companion apps for tablets and phones, and optional cloud services (backups, owner dashboard, website and online ordering, delivery-platform integrations, the AI Waiter, and the customers' app). Features and add-ons are described at posaz.ca and may change over time.
3. Your license
- We grant you a non-exclusive, non-transferable license to use POS AZ at the restaurant location named on your account, for as long as your subscription is paid.
- The license covers one main computer (the POS server). Each additional device running the POS AZ app is licensed per device.
- You may not copy, resell, sublicense, reverse-engineer, or attempt to defeat the license or device checks, or run POS AZ at a location that is not on your account.
- POS AZ, its code, design and trademarks remain our property. Your data remains yours.
4. Pricing and billing
- License: Small restaurant $1 CAD per day (about $30/month) — one PC, customer display and printers; or Family restaurant $2 CAD per day (about $60/month) — the same plus up to 4 connected devices (tablets, kitchen screens, a second till). Billed monthly, per restaurant.
- Extra devices: $10 CAD per month for each device beyond the 4 included in Family restaurant. The number of devices is counted automatically and shown in your Settings.
- Installation — two options: (a) Do it yourself, free. You download POS AZ, run the installer and enter your key on your own computer; plan on about 30 minutes. Our written guide is included; support is by e-mail. (b) We install on site, $199 CAD one-time. We come to your restaurant, install POS AZ and set up your devices (computer, printers, tablets, kitchen screen). Lower Mainland, BC; elsewhere by arrangement.
- Add-on apps: as listed on posaz.ca at the time you turn them on (for example $10/month each for Online orders, Uber Eats, Skip the Dishes, DoorDash and Marketing tools; the AI Waiter at $1/day plus $0.20 per call minute and $0.05 per text message). The customers' app is free with online orders.
- Setup: remote setup is free. On-site setup, hardware we build for you, and other services are quoted separately.
- Prices are in Canadian dollars and exclude applicable taxes (GST/PST/HST). Payment is by credit card through our payment processor at the start of each monthly period. If a payment fails, we will retry and email you; after 14 days of non-payment, cloud features may be paused and the POS will show a reminder, with a 30-day grace period before the license is suspended.
- We may change prices with at least 30 days' notice by email. Changes apply from your next monthly period.
- Third-party fees (card processing, delivery-platform commissions, Stripe fees on customer-app payments, SMS/telephony) are charged by those providers or passed through at cost and are not included in our prices.
5. No contract, cancellation and refunds
There is no free trial: billing starts when your subscription starts. There is no minimum term. You may cancel at any time from your account or by emailing [email protected]; your subscription ends at the close of the current monthly period and is not renewed. Because billing is monthly and there is no long-term commitment, fees already paid are not refunded, except where the law requires or where we fail to provide the service for a significant part of a period through our fault. After cancellation you may export your data; cloud backups are deleted within 30 days.
6. Your responsibilities
- Provide and maintain a suitable computer, network and printers, and keep your operating system reasonably up to date and free of malware. We recommend a dedicated PC on a wired connection.
- Keep staff PINs and your account credentials confidential, and remove staff and devices that should no longer have access.
- Enter prices, taxes, tips rules and menu information correctly. You are responsible for charging the right amounts and for complying with tax, consumer-protection, employment and food-service laws that apply to your business.
- If you connect delivery platforms or the customers' app, comply with those platforms' terms and handle Customer personal information lawfully.
- Use POS AZ only for lawful purposes and not to send spam, abuse the AI Waiter, or interfere with our systems.
7. Your data
Your business data — orders, menus, staff, customers, reports — belongs to you. It is stored on your own computer; if cloud backups are on, an encrypted copy is stored on our Canadian servers. You can export it at any time. We use it only to provide and improve POS AZ, as described in the Privacy Policy. If you turn cloud features off, we cannot restore data that was never backed up.
8. Availability and support
POS AZ is built to keep working on your computer when the internet is down; cloud features naturally require an internet connection. We aim for high availability of our cloud services but do not guarantee uninterrupted operation. Support is available by email at [email protected] during business hours (Pacific Time), in English and Vietnamese. Updates are delivered automatically and may add, change or remove features.
9. Payments and third-party services
Card processing, delivery platforms, telephony and similar services are provided by third parties under their own terms. We are not responsible for their availability, fees, chargebacks or decisions. The AI Waiter is an automated assistant: it may make mistakes, and you are responsible for reviewing orders and reservations it takes.
10. Warranty and liability
POS AZ is provided "as is". To the extent permitted by law, we make no warranties beyond those stated here, and we are not liable for indirect or consequential losses such as lost sales, lost profits, lost data that was not backed up, or downtime caused by your hardware, network, internet provider, or third-party services. Our total liability to you for any claim is limited to the fees you paid to POS AZ in the 3 months before the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Suspension and termination
We may suspend or end your access if you do not pay, breach these Terms, or use POS AZ in a way that harms others or our systems, after giving you reasonable notice where practical. You may end the agreement at any time by cancelling. Sections 3, 7, 10 and 12 survive termination.
12. General
- These Terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. Courts in British Columbia have exclusive jurisdiction, subject to any right you have to bring a claim in your local small-claims court.
- If any part of these Terms is found unenforceable, the rest still applies.
- We may update these Terms; we will post the new version here and notify Owners by email at least 30 days before material changes take effect. Continued use after that date means you accept the changes.
